Miola Travel Terms and Conditions
Updated on: Aug 4, 2026
MIOLA TRAVEL
Client Service Terms and Conditions
These Client Service Terms and Conditions are between the person accepting them (“Client,” “you” or “your”) and Phoebe Lee, an independent affiliate of Fora Travel Inc. who provides travel-planning and advisory services under the Miola Travel trade name (“Miola Travel,” “Advisor,” “we,” “us” or “our”).
Miola Travel is a trade name registered under Fora Travel Inc. (“Fora”), Advisor’s host agency. All travel services sold, arranged or booked by Advisor are sold through Fora, a travel retailer registered under the Travel Industry Act, 2002 of Ontario.
Fora, travel suppliers and other third parties are not parties to this Agreement. These Terms govern Advisor’s professional planning and advisory services. Fora’s applicable terms govern services, systems, payments and functions provided by Fora. The applicable supplier’s terms govern the travel services provided by that supplier.
1. Effective Date and Application
This Agreement becomes effective when accepted by the Client and remains in effect for the duration of the professional relationship between Client and Advisor unless terminated or replaced in accordance with these Terms.
Unless otherwise agreed in writing, these Terms apply to all current and future:
- Consultations and planning services;
- Proposals and recommendations;
- Itineraries;
- Hotel-only services;
- Travel bookings;
- Change and cancellation assistance;
- Invoices, payment authorizations and confirmations; and
- Other services provided by Advisor.
The Client is not ordinarily required to re-sign this master Agreement for each future trip.
Each trip remains subject to its own proposal, scope of services, fee disclosure, invoice, booking confirmation, payment authorization, supplier terms and other trip-specific conditions.
Acceptance of this Agreement does not replace any disclosure or authorization required for an individual booking.
2. Advisor, Host Agency and Supplier Roles
Advisor
Advisor provides professional travel consultation, research, recommendations, itinerary design, coordination and booking assistance.
Advisor operates as an independent affiliate of Fora and is not an independently registered travel agency.
Fora
Fora is Advisor’s host agency and the TICO-registered travel retailer through which Advisor conducts travel sales.
Fora may provide or administer booking systems, payment processing, invoicing, supplier relationships, records, commission processing and other agency-level functions.
Nothing in this Agreement:
- Alters any agreement between Client and Fora;
- Creates an obligation on behalf of Fora;
- Limits any right or responsibility established by Fora’s terms; or
- Authorizes Advisor to make representations or commitments on Fora’s behalf beyond Advisor’s actual authority.
Suppliers
Hotels, villas, airlines, cruise lines, rail companies, tour operators, destination-management companies, transfer companies, guides, activity operators, restaurants and other providers are independent third parties (“Suppliers”).
Advisor and Fora do not own, operate or control Supplier services.
When a reservation is confirmed, Client enters into a separate contractual relationship with the applicable Supplier and agrees to its terms, tariffs, rules, conditions, privacy practices and cancellation policies.
Supplier terms may impose additional obligations beyond these Terms.
3. Nature of the Advisory Relationship
Advisor does not act as a:
- Fiduciary;
- Financial or investment advisor;
- Lawyer or immigration advisor;
- Medical professional;
- Insurance broker or claims advisor; or
- Guarantor of Supplier performance.
Recommendations are based on Advisor’s professional judgment, Client’s stated preferences and budget, Advisor’s experience, and information reasonably available at the time.
Travel is subjective. A recommendation does not guarantee that every traveler will be satisfied with a destination, property, room, service, activity or experience.
Advisor may rely on information provided by Suppliers, tourism authorities, destination partners and other travel-industry sources. Amenities, photographs, descriptions, classifications, schedules, policies and services may change without prior notice.
4. Scope of Services
The services included for a particular trip will be described in the applicable proposal or other written communication.
Services may include:
- Destination and timing consultation;
- Custom itinerary research and design;
- Hotel and villa recommendations;
- Hotel, villa, cruise, flight and rail reservations;
- Transportation and private transfers;
- Tours, activities, guides and experiences;
- Restaurant recommendations or reservation assistance;
- Digital itinerary preparation;
- Pre-departure coordination; and
- Reasonable assistance relating to services booked through Advisor.
Services not expressly included are outside the agreed scope.
Advisor is not responsible for researching, monitoring, managing or resolving arrangements booked independently by Client unless Advisor expressly agrees in writing to include those arrangements in the scope.
5. Trip-Specific Disclosures and Documents
Before completing a travel sale, Advisor will provide the information required for that particular booking, as applicable, including:
- A fair and accurate description of the travel services;
- The destination, travel dates and applicable Suppliers;
- The total price and currency;
- Applicable taxes, fees, levies, surcharges and service charges;
- Amounts payable locally, where known;
- Deposit and final-payment requirements;
- Specific change, transfer and cancellation conditions;
- Specific penalties and non-refundable amounts;
- Material conditions that may reasonably affect the purchasing decision;
- Applicable health, safety or destination information known to Advisor;
- The availability of trip-cancellation and out-of-province emergency medical insurance;
- Typical passport, visa and travel-document requirements;
- Whether the booking permits price increases; and
- Other material conditions made available by the Supplier.
Following a travel sale, an invoice, receipt, confirmation or booking statement will be provided through Fora or another approved system.
Client agrees to read the complete proposal, invoice, confirmation and Supplier terms before approving a booking or payment.
The master Agreement and the trip-specific documents must be read together.
6. Planning, Counselling and Service Fees
Some services require a planning, counselling, consultation or service fee.
Before fee-bearing planning or counselling begins, Advisor will disclose in writing:
- The exact fee and currency;
- Applicable taxes;
- The services included;
- The scope or number of included revisions;
- When payment is due;
- Whether the fee is refundable or non-refundable;
- When the fee becomes earned; and
- The circumstances in which an additional fee may apply.
Unless otherwise stated in the applicable proposal:
- Planning fees are separate from the cost of travel.
- Work begins only after the applicable fee is paid.
- The fee becomes earned and non-refundable once substantive work begins, except where a refund is required by law.
- Substantive work includes research, Supplier outreach, itinerary development, rate comparison, recommendations and coordination.
- A later decision not to travel, to book independently or to use another advisor does not create a right to a refund for work already performed.
Planning and service fees must be collected or processed through Fora or another payment method expressly approved by Fora.
7. Advisor Compensation
Advisor may receive commissions, referral compensation, incentives or other remuneration from Fora or Suppliers in connection with completed bookings.
Unless expressly identified as a separate Client charge, this compensation is paid through Fora or by the applicable Supplier and is not an additional fee charged directly to Client.
The possibility of Supplier compensation does not guarantee that every recommendation or booking generates compensation.
A planning fee remains payable where disclosed, regardless of whether Advisor may also receive Supplier compensation.
8. Revisions and Changes in Scope
The proposal will describe the revisions included in the applicable planning service.
A revision generally means a reasonable adjustment to the agreed trip concept. It does not necessarily include a complete redesign.
A new or additional fee may be required when Client requests a material change, including:
- A different destination;
- Materially different travel dates;
- A substantial change in trip duration;
- A significant change in budget;
- Additional destinations;
- Additional travelers;
- A different travel style or trip structure;
- Replacement of most previously selected services; or
- Rebuilding an itinerary after substantial work has been completed.
Advisor will disclose the scope and exact amount of any additional fee before performing the additional fee-bearing work.
Advisor is not required to continue unlimited revisions where the original scope has been exceeded.
Where Client becomes unresponsive for an extended period, Advisor may pause or close the planning file after providing reasonable notice. Restarting the project remains subject to Advisor’s availability, current rates and any Supplier changes.
9. Hotel-Only Services
Hotel-only assistance may be offered without a separate planning fee unless otherwise disclosed.
Hotel-only services may include:
- A curated selection of suitable properties;
- Rate and room-category comparisons;
- Booking assistance;
- Communication of special requests; and
- Application of available preferred-partner benefits.
Complimentary hotel-only service does not include unlimited research, repeated destination changes, full itinerary design or extensive concierge planning.
Where the request expands beyond a reasonable hotel-only scope, Advisor will disclose any planning fee before continuing the additional work.
Complimentary service may be conditional upon Client completing the hotel reservation through Advisor.
10. Rates, Availability and Currency
Rates and availability are not guaranteed until confirmed by the Supplier.
A proposal or quotation does not hold space unless it expressly states otherwise.
Prices may be quoted in Canadian dollars or another currency. Client acknowledges that:
- Exchange rates fluctuate;
- A foreign-currency charge may differ from an estimated Canadian-dollar equivalent;
- Client’s bank or card issuer determines the exchange rate applied;
- Client’s bank or card issuer may impose foreign-transaction or conversion fees; and
- Refunds converted between currencies may differ from the original converted amount.
Unless otherwise disclosed, the trip-specific total will include the taxes and mandatory charges known and required to be included at the time of quotation.
Resort fees, tourism taxes, city taxes, security deposits, incidental holds and other amounts payable directly at the destination will be disclosed where known.
Advisor is not required to monitor for later price reductions, promotions or alternative rates after confirmation unless expressly agreed in writing.
11. Price Increases
The applicable invoice will state whether price increases are permitted or not permitted for the booking.
Where the contract permits price increases:
- No price increase is permitted after Client has paid in full; and
- If the cumulative increase is more than seven percent, excluding an increase resulting from GST, PST or HST, Client has the right to cancel and obtain a full refund in accordance with applicable Ontario law.
A change requested by Client, an optional upgrade or a fare difference caused by Client’s voluntary change is not treated as a Supplier-imposed price increase.
12. Preferred-Partner Benefits and Special Requests
Available benefits may include:
- Daily breakfast;
- Hotel or resort credits;
- Welcome amenities;
- Room upgrades;
- Early check-in; and
- Late checkout.
Unless expressly confirmed as guaranteed:
- Benefits are subject to program and property terms;
- Upgrades, early check-in and late checkout are subject to availability;
- Benefits may not be combinable with loyalty-program rates, corporate rates, packages or other promotions;
- Hotels may modify or substitute amenities;
- Credits are subject to use restrictions and generally have no cash value; and
- Supplier decisions concerning benefit delivery are final.
Requests concerning bedding, room location, connecting rooms, views, celebrations, dietary needs, accessibility or other preferences will be communicated where appropriate but are not guaranteed unless the Supplier confirms them in writing as guaranteed.
Changes made directly with a Supplier may cause Client to lose preferred-partner benefits, negotiated conditions or Advisor’s ability to access and manage the booking.
Client must notify Advisor promptly before making direct changes to a booking.
13. Loyalty Programs
Client is responsible for providing accurate loyalty-program numbers and confirming that they appear correctly on the booking.
Points, status credit and elite benefits are governed solely by the applicable loyalty program.
Advisor does not guarantee:
- That a rate is eligible to earn points or status credit;
- That preferred-partner and loyalty benefits will be combined;
- The value or availability of points;
- Award availability;
- The continuation of any loyalty program; or
- Correction of missing credit after Supplier deadlines.
Unless expressly included in the agreed scope, Advisor is not responsible for booking, transferring, valuing or managing Client’s points and miles.
14. Payment Authorization
Client authorizes Fora, a Supplier or a Fora-approved payment processor to process charges specifically approved by Client.
Authorization may be provided through:
- Electronic signature;
- A secure payment-authorization form;
- An online approval portal;
- Email approval;
- A written message clearly approving the charge; or
- Another documented method accepted by Fora.
An approval must identify, where applicable:
- The payee or Supplier;
- The amount or a clearly calculable amount;
- The currency;
- The purpose of the charge;
- The scheduled payment date;
- The refundability of the charge; and
- The applicable cancellation conditions.
Client may approve a defined payment schedule, including an initial deposit and identified future balance payments. Once approved, separately scheduled charges included in that authorization may be processed without obtaining a new authorization for each charge.
Approval of one charge does not provide unlimited authorization for unrelated or unidentified future charges.
Client represents that:
- They are authorized to use the payment method provided;
- The cardholder has approved the transaction;
- The billing information is accurate; and
- They accept responsibility for approved charges.
Complete payment-card information must be submitted only through a secure system approved by Fora or the applicable Supplier. Client should not send complete card details through ordinary email, text message or messaging applications.
15. Failed or Late Payments
Client is responsible for ensuring that:
- Payment information remains current;
- Sufficient funds or credit are available;
- Charges are not blocked by the card issuer; and
- Required payments are completed by the applicable deadline.
A Supplier may cancel a booking, release space, change the price or impose penalties if a payment is declined or received late.
Advisor will use reasonable efforts to notify Client if Advisor becomes aware of a failed payment but does not guarantee that a booking can be preserved.
Advisor is not responsible for a loss caused by:
- An expired or replaced card;
- A declined transaction;
- A bank security block;
- Incorrect billing information;
- Insufficient funds; or
- Client’s failure to respond before a payment deadline.
16. Supplier Terms and Non-Refundable Bookings
Every booking is subject to Supplier terms.
Some reservations become partially or fully non-refundable immediately upon confirmation. Others have staged penalties, minimum-stay requirements, restricted changes or other limitations.
Before booking, Advisor will disclose the applicable conditions made available by the Supplier, including specific non-refundable amounts and penalties.
By approving a booking or payment, Client confirms that they have reviewed and accepted the disclosed conditions.
A Supplier’s willingness to make an exception on a previous occasion does not require that Supplier to make an exception in the future.
Advisor has no authority to waive or override Supplier terms without the Supplier’s express written approval.
17. Changes, Cancellations and Refunds
Requests to change or cancel a booking must be submitted to Advisor in writing.
A request is not completed merely because Client sent a message. The applicable change or cancellation is effective only when processed or accepted by the relevant Supplier.
Penalties may be determined according to:
- The Supplier’s time zone;
- The Supplier’s business hours;
- The time the Supplier receives or processes the request; and
- The conditions of the particular rate or reservation.
Advisor will use reasonable efforts to process requests promptly but cannot guarantee that a request received outside normal business hours will be completed before a deadline.
Supplier policies control the availability and amount of any refund, credit or rebooking option.
Advisor cannot guarantee:
- A waiver or exception;
- A refund instead of a credit;
- The timing of a refund;
- A cash refund for a payment made using points, credits or vouchers; or
- That an expired or restricted credit can be extended.
Approved refunds are ordinarily returned to the original form of payment by the Supplier or payment processor.
Foreign-currency fluctuations and card-issuer fees may cause the amount ultimately credited to differ from the amount originally converted on Client’s statement.
Planning and service fees already earned are not refundable merely because Client later changes or cancels the trip.
Any separate Advisor change, cancellation, re-planning or administrative fee must be specifically disclosed in advance.
18. Supplier Credits and Vouchers
Supplier-issued credits and vouchers are subject to the issuing Supplier’s conditions, including:
- Expiry dates;
- Eligible travelers;
- Permitted routes, properties or services;
- Blackout dates;
- Fare or rate differences;
- Taxes and additional charges;
- Transfer restrictions; and
- Supplier solvency and continued operation.
A credit or voucher is not equivalent to cash unless the Supplier expressly states otherwise.
Advisor is not responsible for a Client’s inability to use a credit before its expiry, but may assist with its use where that assistance is included in the agreed scope.
19. Payment Disputes and Chargebacks
Client agrees to contact Advisor promptly regarding an unfamiliar, incorrect or disputed charge so that Advisor and Fora have a reasonable opportunity to investigate.
Client agrees not to initiate a chargeback for the purpose of avoiding:
- A valid payment obligation;
- A properly disclosed non-refundable condition;
- A valid cancellation penalty; or
- A service or booking Client authorized.
Nothing in this section limits Client’s lawful right to dispute an unauthorized, fraudulent, duplicate or incorrectly processed transaction or any other right that cannot legally be waived.
To the extent permitted by law, Client may be responsible for reasonable costs directly incurred in responding to a chargeback that Client knowingly submits using materially false information or in bad faith.
20. Client Information and Booking Accuracy
Client is responsible for providing complete and accurate information for every traveler, including:
- Full legal name exactly as shown on the travel document;
- Date of birth;
- Citizenship;
- Passport type and issuing country;
- Passport number and expiry date where required;
- Residency information where relevant;
- Contact information;
- Known accessibility requirements;
- Significant dietary restrictions and allergies;
- Known medical or mobility considerations relevant to the requested arrangements; and
- Other information reasonably required by Advisor, Fora or a Supplier.
Client must review all proposals, invoices and confirmations promptly, preferably within 24 hours of receipt.
Client must immediately notify Advisor of any error concerning:
- Names;
- Dates;
- Routes;
- Airports;
- Room categories;
- Occupancy;
- Bedding;
- Traveler details;
- Pricing; or
- Other booking information.
Failure to review documents promptly may limit the ability to correct an error without cost.
Client is responsible for costs resulting from inaccurate information provided or approved by Client, except to the extent an error was caused solely by Advisor’s failure to follow accurate written instructions.
21. Lead Traveler and Group Responsibility
The person accepting this Agreement must be at least 18 years old and will ordinarily be treated as the lead traveler.
The lead traveler represents that they are authorized to:
- Communicate booking instructions for the identified travelers;
- Provide traveler information;
- Request proposals;
- Approve arrangements;
- Approve charges using a payment method they are authorized to use; and
- Receive and circulate booking documents.
The lead traveler must ensure that each adult traveler consents to the collection and disclosure of their personal information for travel purposes.
Advisor may require a traveler or cardholder to provide direct confirmation or authorization.
The lead traveler is responsible for circulating relevant Supplier conditions, entry requirements and itinerary information to the other travelers.
A person is not made jointly and severally liable for all trip costs merely because they are listed as a traveler.
Formal groups, room blocks, destination weddings, corporate travel and other group arrangements may require a separate group agreement.
22. Passports, Visas and Entry Requirements
For international travel, Advisor will provide information concerning the typical passports, visas, permits, consent letters, affidavits, vaccination documentation and other travel documents required based on the traveler information provided.
Requirements may differ based on:
- Citizenship;
- Passport type;
- Country of residence;
- Transit points;
- Age;
- Family relationship;
- Criminal or immigration history; and
- The purpose or duration of travel.
Client is responsible for:
- Providing accurate citizenship and passport information;
- Obtaining all required documents;
- Ensuring passports have sufficient validity;
- Confirming current requirements with the appropriate official authority;
- Obtaining documents for minors;
- Accounting for transit-country requirements; and
- Allowing adequate processing time.
Advisor is not an immigration lawyer and cannot provide legal advice concerning admissibility, criminal records, prior immigration issues or citizenship status.
Government authorities may refuse entry or transit even where a traveler appears to possess the required documents.
Living standards, customs, practices, utilities, transportation, services and accommodations outside Canada may differ from those normally found in Canada.
23. Health, Safety and Accessibility
Client is responsible for determining whether each traveler is medically and physically able to participate in the trip and planned activities.
Travelers should consult an appropriate medical professional regarding:
- Vaccinations;
- Medications;
- Pregnancy;
- Mobility;
- Chronic medical conditions;
- Mental or physical fitness;
- Altitude;
- Food and water risks; and
- Other health considerations.
Advisor does not provide medical advice.
Client must disclose material accessibility or mobility requirements sufficiently early for Advisor to make appropriate inquiries.
Advisor will communicate disclosed needs to Suppliers where appropriate but cannot guarantee accessibility unless the Supplier expressly confirms the requested accommodation.
Some destinations and Suppliers may not meet Canadian accessibility standards.
Adventure, wildlife, water, sporting, driving and remote-area activities may involve significant inherent risks. Client is responsible for reviewing operator requirements and deciding whether participation is appropriate.
24. Travel Insurance
Trip-cancellation, trip-interruption, emergency medical, evacuation, baggage, accident and other appropriate travel insurance are strongly recommended.
Advisor will advise Client of the availability of trip-cancellation insurance and out-of-province emergency medical insurance, where applicable.
The applicable invoice or booking record will indicate whether:
- Insurance was purchased;
- Insurance was declined; or
- Client was advised that insurance is available through another provider.
Unless expressly stated otherwise, Advisor is not a licensed insurance advisor and does not assess whether a policy is suitable for Client.
Insurance is governed solely by the insurer’s:
- Policy wording;
- Eligibility requirements;
- Definitions;
- Coverage limits;
- Exclusions;
- Pre-existing-condition provisions;
- Purchase deadlines; and
- Claims procedures.
Advisor cannot guarantee that a policy will cover any particular circumstance or claim.
Client must direct coverage and claims questions to the insurer or an appropriately licensed insurance representative.
Where Client declines or does not obtain adequate insurance, Client accepts responsibility for costs not paid by a Supplier, insurer or other responsible party.
25. Air, Rail, Cruise and Transportation Services
Transportation schedules, routes, equipment and operating carriers may change.
Seat assignments, cabin locations, meal requests, accessibility requests and other preferences are not guaranteed unless expressly confirmed as guaranteed by the Supplier.
Airlines and other carriers may:
- Change schedules;
- Substitute equipment;
- Change operating carriers;
- Cancel or consolidate services;
- Reassign seats;
- Change baggage rules; or
- Impose additional fees.
Client is responsible for checking current departure times, terminals, check-in requirements and baggage restrictions before travel.
Where separate tickets, unrelated reservations or self-transfers are used, Client accepts the additional risk that one Supplier may not protect, rebook or compensate Client when another service is delayed or cancelled.
Unless expressly included in the agreed scope, Advisor is not responsible for monitoring transportation booked independently by Client.
26. Independently Booked Arrangements
Advisor’s responsibility and support are limited to services booked through Advisor unless otherwise agreed in writing.
Advisor is not responsible for:
- Independently booked flights;
- Independently booked accommodations;
- Personal transportation;
- Restaurant arrangements made directly by Client;
- Tours or activities booked elsewhere;
- Travel documents obtained independently;
- Loyalty-point reservations not managed by Advisor; or
- Problems arising from inaccurate details Client supplies concerning independently booked arrangements.
If independently booked arrangements affect services booked through Advisor, Client must provide complete and current information.
Advisor is not responsible for missed connections, unused reservations or additional costs caused by changes to an independently booked component.
27. Dining and Concierge Assistance
Restaurant and other non-travel reservations may be provided as a courtesy or as part of an agreed planning service.
Availability is controlled by the applicable venue and is not guaranteed.
Client is responsible for:
- Reviewing cancellation and no-show policies;
- Providing any required card guarantee;
- Cancelling within the applicable deadline;
- Paying deposits, cancellation charges and no-show fees; and
- Advising the venue directly of urgent dietary or allergy concerns.
Advisor is not responsible for food preparation, restaurant service, venue decisions or a venue’s failure to honour a reservation.
28. Communication and Support
Advisor’s normal business hours are the office hours communicated on Advisor’s website, proposal, invoice, email signature or out-of-office notice.
Advisor does not guarantee continuous or 24-hour availability unless expressly included in the applicable service proposal.
During travel, Client should first contact the applicable hotel, airline, tour operator, driver, guide or other on-site Supplier when immediate action is required.
Advisor will provide reasonable assistance regarding services booked through Advisor during available business hours.
Advisor’s support does not extend to unrelated issues or independently booked arrangements merely because they arise during the same trip.
For emergencies involving immediate danger, health or safety, Client must contact local emergency services, the applicable government authority and the emergency-assistance number provided by the insurer or Supplier.
Email, text and messaging services may not be secure. Sensitive personal information and complete payment details should be transmitted only through approved secure systems.
29. Material Changes After Booking
If Advisor becomes aware of a material change communicated by a Supplier that might reasonably have affected Client’s decision to purchase, Advisor will use reasonable efforts to advise Client promptly.
Advisor is not required to continuously monitor every Supplier website, government source, weather system, news outlet or destination condition unless such monitoring is expressly included in the agreed scope.
Client remains responsible for reviewing:
- Supplier communications;
- Government travel advisories;
- Entry requirements;
- Transportation schedules;
- Weather conditions; and
- Other current information before and during travel.
30. Events Beyond Reasonable Control
Advisor is not responsible for delays, cancellations, changes, losses or additional expenses caused by circumstances beyond Advisor’s reasonable control, including:
- Severe weather;
- Natural disasters;
- Fire or flood;
- Epidemics or pandemics;
- Government restrictions;
- Border closures;
- War, terrorism or civil unrest;
- Labour disputes;
- Supplier insolvency or shutdown;
- Mechanical failure;
- Transportation disruption;
- Construction;
- Utility failure;
- Cyber incidents;
- Changes in law; or
- Acts or omissions of third parties.
Advisor will provide reasonable assistance regarding affected services booked through Advisor but cannot guarantee a particular alternative, waiver, credit or refund.
Any refund or remedy remains subject to Supplier terms and applicable law.
Additional costs remain Client’s responsibility unless paid by the applicable Supplier, insurer or another responsible party.
31. Assumption of Ordinary Travel Risks
Travel involves risks that cannot be entirely eliminated, including delay, illness, injury, theft, crime, transportation incidents, unfamiliar conditions, remote locations and differences in safety or service standards.
Client accepts the ordinary and inherent risks associated with the travel and activities Client voluntarily selects.
This acknowledgement does not release Advisor from responsibility for Advisor’s own fraud, wilful misconduct, negligence where liability cannot lawfully be excluded, or any non-waivable statutory duty.
32. Limitation of Advisor’s Responsibility
Advisor does not own, operate, supervise or control independent Suppliers.
To the fullest extent permitted by law, Advisor is not responsible for losses caused by the acts, omissions, insolvency, errors, negligence or operational decisions of a Supplier or other independent third party.
Advisor remains responsible for exercising reasonable care in performing the professional planning and advisory services expressly included in the agreed scope.
To the fullest extent permitted by law:
- Advisor is not liable for indirect, incidental, special, exemplary, punitive or consequential damages, including loss of enjoyment, lost opportunity, lost income or emotional distress.
- Advisor’s aggregate liability arising directly from Advisor’s planning or advisory services will not exceed the planning or service fees paid to Advisor for the applicable trip.
- The limitation does not apply to fraud, wilful misconduct, liability that cannot lawfully be limited, or a right or remedy that cannot legally be waived.
Nothing in these Terms limits any substantive or procedural right provided by applicable consumer-protection or travel-industry legislation.
33. Client-Caused Losses
Client is responsible for losses or expenses directly caused by:
- Materially inaccurate information supplied by Client;
- Instructions given without proper authority;
- Unauthorized payment approvals;
- Client’s breach of Supplier rules;
- Unlawful conduct;
- Damage caused by Client or another traveler under Client’s responsibility; or
- Client’s material breach of these Terms.
To the extent permitted by law, Client agrees to reimburse Advisor for reasonable third-party costs directly resulting from such conduct.
This section does not require Client to reimburse Advisor for a loss caused by Advisor’s own negligence or misconduct.
34. Planning Materials and Intellectual Property
Original itineraries, written recommendations, research documents, planning formats and other materials prepared by Advisor remain Advisor’s intellectual property.
Once the applicable planning fee has been paid, Client receives a personal, non-exclusive and non-transferable licence to use the materials for the planned trip and to share them with participating travelers.
Client may not:
- Sell or commercially distribute the materials;
- Publish substantial portions without permission;
- Present Advisor’s work as Client’s own;
- Remove branding for commercial use;
- Provide the materials to another advisor or travel-planning business for commercial reuse; or
- Use the materials to avoid an agreed but unpaid planning obligation.
Nothing prevents Client from independently booking travel after paying the applicable planning fee. However, independent booking does not create a right to a refund and Advisor will not be responsible for the independently booked arrangements.
35. Privacy and Personal Information
Client authorizes Advisor to collect, use and disclose personal information reasonably necessary to:
- Provide recommendations;
- Make and manage reservations;
- Process approved payments;
- Communicate with Fora and Suppliers;
- Prepare travel documents and itineraries;
- Assist with changes or disruptions;
- Maintain legally required records; and
- Provide the requested services.
Information may be disclosed to:
- Fora;
- Suppliers;
- Destination-management companies;
- Payment processors;
- Technology providers;
- Insurers;
- Professional service providers; and
- Other parties reasonably involved in providing the requested services.
Some recipients and systems may be located outside Canada, where information may be subject to foreign laws.
Client must ensure that each adult traveler understands and consents to the provision and disclosure of their information. Advisor may request direct authorization from a traveler where appropriate.
Advisor and Fora will apply privacy and security practices appropriate to their respective roles and applicable law. Supplier privacy practices are governed by each Supplier’s own policies.
Client may request reasonable access to or correction of personal information held directly by Advisor, subject to applicable legal exceptions.
Acceptance of these Terms does not constitute consent to receive unrelated promotional marketing. Any marketing consent will be obtained separately where required.
PIPEDA generally applies to private-sector organizations collecting, using or disclosing personal information in commercial activity, and requires meaningful consent and safeguards appropriate to the information’s sensitivity.
36. Termination of the Advisory Relationship
Either Client or Advisor may terminate the advisory relationship prospectively by written notice.
Termination does not:
- Cancel confirmed Supplier bookings;
- Override Supplier terms;
- Eliminate outstanding payment obligations;
- Reverse planning fees already earned;
- Automatically create a right to a refund;
- Eliminate penalties already incurred; or
- Affect provisions intended to survive termination.
Advisor may suspend or terminate services where Client:
- Fails to pay an amount when due;
- Provides unlawful or misleading instructions;
- Engages in abusive, threatening or discriminatory conduct;
- Repeatedly disregards disclosed requirements;
- Initiates a knowingly false payment dispute;
- Requests conduct contrary to Fora or Supplier rules; or
- Materially breaches this Agreement.
Where reasonably possible, Advisor will provide notice and an opportunity to address the issue.
For confirmed bookings, Advisor may coordinate with Fora regarding the administration or transfer of the file where appropriate.
37. Complaints and Disputes
Client agrees to notify Advisor promptly in writing of a concern relating to Advisor’s services so that Advisor has a reasonable opportunity to investigate and respond.
Where a concern relates to a Supplier, Client should also notify the Supplier promptly and allow it an opportunity to address the issue during the trip where practical.
The parties will first attempt to resolve a dispute through good-faith communication.
Nothing in this section:
- Requires mandatory arbitration;
- Prevents Client from contacting Fora, TICO, a card issuer, an insurer or another appropriate authority;
- Shortens a statutory limitation period; or
- Limits a non-waivable consumer right.
38. Governing Law
This Agreement is governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario.
Subject to any mandatory consumer right to proceed elsewhere, the parties submit to the jurisdiction of the courts of Ontario.
Nothing in this Agreement waives or limits a right that cannot legally be waived under the Travel Industry Act, 2002, the Consumer Protection Act, 2002 or other applicable legislation.
Ontario’s current Consumer Protection Act expressly provides that its substantive and procedural rights apply despite any agreement or waiver to the contrary.
39. Relationship to Other Terms
These Terms supplement and do not replace:
- Fora’s applicable terms and privacy policy;
- Supplier terms;
- Insurer terms;
- Payment-processor terms; or
- Trip-specific proposals, invoices and confirmations.
Each set of terms governs the services provided by the party issuing those terms.
For Advisor’s services, a trip-specific written proposal will prevail over these master Terms only to the extent that it expressly modifies the scope, fee or conditions for that trip.
Mandatory law prevails over any inconsistent contractual term.
Fora’s published terms currently recognize that additional terms from a Fora Advisor may apply and separately provide that Supplier terms govern the underlying travel products.
40. Entire Agreement Regarding Advisor Services
These Terms, together with the applicable service proposal and written trip-specific terms issued by Advisor, constitute the agreement between Client and Advisor concerning Advisor’s professional services.
They do not supersede or amend an agreement between Client and Fora, a Supplier, insurer, payment processor or another third party.
Client acknowledges that no oral statement will override a written Supplier condition, invoice or payment authorization.
41. Amendments
A material amendment affecting an existing trip must be communicated in writing and accepted by Client.
Advisor may update these master Terms prospectively for future trips.
An updated version will not retroactively alter a confirmed booking or fee without Client’s agreement, except where a change is required by law.
Where a material new version is intended to govern future services, Advisor will provide the updated version and obtain acceptance in an appropriate electronic form.
42. Severability and No Waiver
If any provision is found invalid or unenforceable, it will be interpreted or limited to the minimum extent necessary, and the remaining provisions will continue in effect.
A party’s failure to enforce a provision on one occasion does not waive that provision or the right to enforce it later.
43. Notices
Notices and approvals may be delivered electronically using the email address, portal or messaging contact ordinarily used for the booking.
Client is responsible for keeping contact information current and monitoring communications relating to the trip.
A change or cancellation request should be made in writing and should identify the applicable booking clearly.
44. Electronic Acceptance
Client may accept these Terms by:
- Electronic signature;
- Clicking an acceptance box;
- Selecting an electronic acceptance button;
- Providing written electronic confirmation; or
- Another documented electronic method.
Electronic acceptance has the same effect as a handwritten signature to the extent permitted by law. Ontario’s Electronic Commerce Act, 2000 generally recognizes electronic signatures as satisfying a legal signature requirement.
45. Survival
The provisions concerning:
- Earned fees;
- Approved payment obligations;
- Payment disputes;
- Intellectual property;
- Privacy and records;
- Limitation of liability;
- Client-caused losses;
- Governing law; and
- Dispute resolution
survive termination to the extent necessary to give them effect.
46. Client Acknowledgement
By accepting this Agreement, Client confirms that:
- Client has read and understands these Terms.
- Client has had an opportunity to ask questions.
