TIIPSY TRAVELS AGENCY CONTRACT

Terms & Conditions, Consumer Disclosure Notice, Release of Liability, Waiver, Assumption of Risk, and Dispute Resolution Agreement

PLEASE READ THIS NOTICE CAREFULLY. This document forms part of your contract for travel-related services with Tiipsy Travels LLC. Please review all invoices, itineraries, confirmations, reservations, travel documents, supplier terms, and related materials when received. Contact Tiipsy Travels immediately if any information appears incorrect or if you have questions.

Many travel arrangements, including discounted fares, promotional rates, cruise fares, resort packages, group rates, and supplier-issued offers, may involve restrictions. Changing airlines, hotels, suppliers, travel dates, names, routes, room categories, or package components may result in additional costs, penalties, fare increases, or loss of availability. Travelers are responsible for reviewing all details prior to payment, deposit, approval, or departure.

I. Scope of Contract

Tiipsy Travels LLC (“Tiipsy Travels,” “we,” “our,” or “us”) is a global luxury travel design and concierge firm. We provide travel planning, itinerary design, booking coordination, concierge support, and related travel services through independent third-party suppliers, including but not limited to airlines, cruise lines, hotels, resorts, villas, tour operators, destination management companies, transportation providers, restaurants, experience providers, guides, insurance providers, and other vendors.

Tiipsy Travels acts as an intermediary between the Traveler and these independent suppliers. Tiipsy Travels does not own, manage, operate, control, or supervise such suppliers and is not responsible for their acts, omissions, delays, cancellations, errors, negligence, service failures, schedule changes, overbookings, bankruptcy, insolvency, safety standards, staffing, maintenance, accessibility compliance, or any failure to perform.

Traveler understands that Tiipsy Travels is not liable for breach of contract, failure to comply with laws such as the Americans with Disabilities Act, or any intentional, negligent, or unforeseen acts or omissions of suppliers that may result in loss, damage, delay, inconvenience, injury, illness, death, disappointment, denied boarding, denied entry, service disruption, or additional expense.

Traveler is responsible for their own personal conduct and behavior at all times during travel, including conduct related to alcohol consumption, nightlife, excursions, social activities, local laws, safety decisions, and interactions with third parties. Tiipsy Travels bears no responsibility for Traveler’s personal choices, conduct, or resulting consequences.

Unless the term “guaranteed” is specifically stated in writing on a Tiipsy Travels-issued invoice, confirmation, proposal, or itinerary, Tiipsy Travels does not guarantee supplier rates, availability, amenities, room assignments, cruise cabins, airline seats, schedules, connections, upgrades, baggage handling, or service outcomes.

Traveler acknowledges that they have reviewed the quality, location, category, inclusions, exclusions, restrictions, and supplier terms associated with their selected travel arrangements. Traveler agrees that Tiipsy Travels is not responsible if the Traveler is dissatisfied with accommodations, destinations, supplier services, or experiences selected or approved by Traveler.

All supplier terms and conditions are incorporated into this Agreement by reference. By approving an itinerary, submitting payment, signing electronically, or proceeding with services, Traveler acknowledges that they have reviewed and accepted these Terms & Conditions and any applicable supplier terms.

II. Risks, Cancellations, and Travel Protection

Traveler assumes full responsibility for verifying all passport, visa, vaccination, health, entry, exit, transit, immigration, customs, documentation, and safety requirements for each destination, layover, cruise port, airline, hotel, and supplier involved in their journey.

U.S. citizens traveling internationally should travel with a valid U.S. passport. Many countries require passports to be valid for at least six months beyond the scheduled return date and may require visas, proof of onward travel, vaccination records, travel insurance, sufficient funds, or other documentation. Non-U.S. citizens must consult the appropriate consulates, embassies, and government agencies for requirements applicable to their nationality, residency, and travel route.

For destination safety information, Travelers may consult the U.S. Department of State at travel.state.gov. For health and vaccination information, Travelers may consult the U.S. Centers for Disease Control and Prevention at cdc.gov/travel or their personal medical provider.

Tiipsy Travels is not responsible for injuries, losses, denied boarding, denied entry, delays, cancellations, damages, missed services, additional costs, or disruptions connected to terrorism, social or labor unrest, disease, viruses, pandemics, epidemics, government restrictions, local laws, political events, criminal activity, weather, natural disasters, Acts of God, mechanical failures, transportation issues, supplier cancellations, hotel service issues, accidents, medical conditions, health-related problems, or any event outside Tiipsy Travels’ reasonable control.

If travel plans are delayed, disrupted, changed, or cancelled for any reason, Tiipsy Travels will not issue refunds except where Tiipsy Travels has directly collected a fee that is expressly refundable under a written Tiipsy Travels policy. Travel arrangements often consist of multiple components, each with its own supplier-specific payment, cancellation, refund, voucher, credit, and change rules. Supplier penalties may apply immediately upon deposit or booking.

Traveler is responsible for reviewing and understanding all supplier cancellation policies. Tiipsy Travels will provide available supplier policies when reasonably accessible, but Traveler remains responsible for obtaining and understanding applicable rules directly from suppliers when necessary.

No refunds will be issued by Tiipsy Travels for cancellations due to fear of travel, threatened or actual terrorism, pandemics, health concerns, political events, civil unrest, government restrictions, supplier disruptions, or similar events unless the applicable supplier authorizes a refund and funds are actually returned to Tiipsy Travels or the Traveler.

Tiipsy Travels is not responsible for travel-related health, vaccination, testing, quarantine, mask, cruise line, airline, hotel, tour operator, or government requirements that may be imposed, amended, or withdrawn at any time. Tiipsy Travels may make reasonable efforts to share known information, but Traveler is responsible for independently verifying current requirements directly with suppliers and government authorities before and during travel.

If Traveler requests assistance with itinerary changes, cancellations, rebooking, document updates, supplier communication, or emergency support, Tiipsy Travels may charge a non-refundable professional service or concierge adjustment fee.

Travel protection is strongly recommended. Traveler is advised to obtain appropriate coverage, including trip cancellation, trip interruption, emergency medical, evacuation, baggage, delay, supplier default, and other coverage suitable for the journey. If Traveler declines travel protection, Traveler assumes full financial responsibility for any uninsured losses.

Traveler acknowledges that Tiipsy Travels cannot control cancellation fees assessed by tour operators, airlines, cruise lines, hotels, villas, destination suppliers, insurance providers, or other third parties. Tiipsy Travels also cannot control whether a supplier issues a cash refund, future travel credit, voucher, or no refund.

By embarking upon travel, Traveler voluntarily assumes all known and unknown risks involved in travel, including travel industry bankruptcies, supplier defaults, medical disruptions, climatic disruptions, political events, high-risk or adventure activities, transportation irregularities, and personal emergencies.

Traveler agrees not to initiate chargebacks or payment disputes for properly authorized charges, non-refundable fees, supplier penalties, or services rendered in accordance with agreed terms. If Traveler initiates a chargeback to avoid previously agreed amounts, Tiipsy Travels reserves all rights and remedies under the laws of the State of Kentucky, including recovery of unpaid amounts, supplier penalties, administrative costs, attorneys’ fees, and collection costs.

III. Alternative Dispute Resolution

Tiipsy Travels values professional, respectful, and good-faith relationships with its Travelers. In the event of any misunderstanding, concern, or dispute, Traveler agrees to first contact Tiipsy Travels directly in writing at legal@tiipsytravels.com so that both parties may attempt to resolve the matter amicably.

If a dispute arises out of or relates to this Agreement, any travel service, any payment, any cancellation, any itinerary, or any alleged breach, and the dispute cannot be resolved through direct negotiation, the parties agree to first attempt resolution through good-faith mediation before filing any lawsuit, arbitration demand, or other formal dispute proceeding.

If mediation is unsuccessful, the parties agree that the dispute may proceed through binding arbitration or another mutually acceptable dispute resolution service, unless prohibited by applicable law. If litigation is necessary to enforce this Agreement, the prevailing party shall be entitled to recover reasonable attorneys’ fees, costs, and expenses.

The issuance of tickets, reservations, confirmations, or bookings by Tiipsy Travels is expressly conditioned upon the following:

    1. Tiipsy Travels is not responsible for changes in fares, rates, taxes, fees, charges, exchange rates, availability, or prices initiated by carriers or suppliers.

    2. Tiipsy Travels is not responsible for damages resulting from cancellations, changes, disruptions, supplier failures, or refunds of monies already paid or transmitted to carriers or suppliers.

    Traveler’s retention of tickets, confirmations, reservations, itineraries, or bookings after issuance constitutes acceptance of these terms on behalf of Traveler and all members of Traveler’s party.

    Nothing in this Agreement is intended to interfere with Traveler’s legal rights against any carrier, supplier, or travel service provider.

    Payment of any required deposit, partial payment, full payment, design retainer, concierge fee, or supplier charge constitutes consent to this Agreement, Tiipsy Travels’ Terms & Conditions, any trip-specific payment and cancellation terms, supplier terms, proposal terms, itinerary terms, and any other written materials provided in connection with the journey.

    Tiipsy Travels and its owners, officers, employees, advisors, independent contractors, affiliates, and representatives are not responsible for personal injury, property damage, death, loss, delay, itinerary changes, or additional costs arising from the acts, omissions, negligence, default, or failure of any airline, cruise line, hotel, resort, villa, tour operator, transportation company, guide, supplier, governmental authority, or other third party.

    Tiipsy Travels reserves the right to decline, accept, or remove any person from participation in a journey where necessary due to safety, supplier requirements, non-payment, improper conduct, legal compliance, or other reasonable business concerns. Tiipsy Travels also reserves the right to alter, adjust, substitute, or cancel arrangements due to low participation, supplier default, illness, safety concerns, operational limitations, or circumstances beyond its control.

    The right is reserved to substitute hotels, villas, transportation, experiences, guides, restaurants, excursions, or other arrangements of similar category or value when available, or to change schedules without prior notice when circumstances require. In the event of itinerary changes caused by factors beyond Tiipsy Travels’ control, no refund, credit, or compensation will be due for unused services unless authorized and returned by the applicable supplier.

    All prices are subject to change until paid in full and confirmed. Rates may be based on supplier tariffs, taxes, fees, availability, and international exchange rates, and may be adjusted without prior notice. Any increase resulting from such changes does not alter applicable cancellation terms.

    All parties consent to the jurisdiction of the state and federal courts sitting in Fayette County, Kentucky, and agree that venue for legal action connected to this Agreement shall lie exclusively in such courts, without regard to conflict-of-law principles.

    TIIPSY TRAVELS TERMS & CONDITIONS

    The following Terms & Conditions apply to all travel and travel-related services offered, sold, recommended, designed, coordinated, or arranged by Tiipsy Travels LLC and/or its owners, advisors, employees, associates, affiliates, independent contractors, subcontractors, or representatives.

    Please read these Terms & Conditions carefully. Traveler may ask questions and may consult legal counsel before agreeing to be bound. By submitting an inquiry, approving an itinerary, signing a form, clicking “I Agree,” submitting payment, authorizing a charge, or proceeding with services, Traveler confirms acceptance of these Terms & Conditions.

    When Traveler purchases or requests travel for another person, Traveler confirms that they have authority to act on behalf of that person and agrees to provide these Terms & Conditions to all members of the travel party. Traveler accepts these Terms & Conditions on behalf of all Travelers included in the booking.

    The term “Services” includes travel consultation, travel design, itinerary planning, concierge coordination, airfare, cruises, yachts, charters, hotels, resorts, villas, lodgings, ground transportation, tours, excursions, dining, activities, equipment rentals, destination services, insurance referrals, and any related travel products or services. The term “Journey,” “Trip,” or “Travel Arrangements” refers to any individual service or combination of services. “Supplier” or “Vendor” refers to any third-party provider of travel services.

    All bookings are subject to the terms and conditions of the applicable suppliers. If a supplier’s terms conflict with Tiipsy Travels’ terms, Tiipsy Travels’ terms control as to the rights, responsibilities, limitations, and liabilities of Tiipsy Travels.

      1. Eligibility

      Services offered by Tiipsy Travels are available to Travelers who are at least 18 years old and have the legal authority to enter into this Agreement. Travelers purchasing services on behalf of others confirm that they are authorized to do so and that all travelers have agreed to these Terms & Conditions.

      2. Modification of Terms

      Tiipsy Travels may amend or modify these Terms & Conditions at any time. Changes will not apply retroactively to confirmed travel arrangements unless required by law, supplier policy, or mutual written agreement. Traveler should review the current Terms & Conditions at the time of each booking.

      3. Payments

      Traveler is responsible for all deposits, payments, final balances, supplier charges, professional fees, taxes, and deadlines. Failure to make timely payments may result in cancellation, loss of availability, supplier penalties, or forfeiture of funds.

      If Traveler has an unpaid balance and does not make satisfactory payment arrangements, the account may be placed with an external collection agency or legal representative. Traveler will be responsible for collection costs, reasonable attorneys’ fees, court costs, and any related expenses permitted by law.

      Where permitted by law, Traveler authorizes Tiipsy Travels and any designated collection agency to contact Traveler by telephone, wireless number, text message, email, or other contact method provided by Traveler. Message and data rates may apply.

      Tiipsy Travels may accept payment by credit card, debit card, bank transfer, wire transfer, ACH, check, approved payment platform, or other method expressly accepted by Tiipsy Travels. Some suppliers may require direct payment from Traveler and may require Traveler’s credit card to secure services. Tiipsy Travels cannot guarantee eligibility for points, miles, rewards, elite credits, or loyalty benefits on travel booked through Tiipsy Travels or its supplier partners.

      4. Travel Design Retainers and Professional Fees

      Tiipsy Travels provides bespoke travel design and concierge services. A non-refundable Travel Design Retainer or professional service fee may be required before consultation, research, itinerary development, proposal delivery, booking, concierge coordination, or support services begin.

      The Travel Design Retainer may cover consultation, research, supplier sourcing, custom itinerary design, revisions, proposal development, destination strategy, booking coordination, and professional advisory time. The fee varies based on trip complexity, destination, number of travelers, urgency, group size, and scope of service.

      This retainer is non-refundable because it compensates Tiipsy Travels for time, expertise, supplier access, professional research, and intellectual property, regardless of whether Traveler ultimately books the journey.

      Additional professional fees, including concierge service fees, revision fees, rush fees, cancellation support fees, emergency assistance fees, or rebooking fees, may apply when services are requested beyond the original scope.

      5. Prices and Exclusions

      All prices are subject to availability and change until confirmed, deposited, and/or paid in full according to supplier requirements. Pricing may change due to supplier tariffs, taxes, fees, currency fluctuations, fuel surcharges, exchange rates, resort fees, government charges, or availability changes.

      Unless specifically stated in writing, quoted prices do not include personal expenses, baggage fees, resort fees, port charges, departure taxes, passport or visa costs, inspection fees, customs fees, immigration fees, single supplements, travel insurance, parking, gratuities, meals, upgrades, optional excursions, or any item not expressly listed as included.

      Tiipsy Travels endeavors to recommend suitable options based on Traveler preferences, availability, advisor knowledge, and supplier access. Tiipsy Travels does not guarantee that any price is the lowest available rate.

      6. Cancellations, Changes, and Refunds

      All cancellations, changes, refunds, vouchers, and credits are subject to supplier policies. Many travel arrangements are non-refundable, non-transferable, and subject to strict cancellation penalties once deposited or confirmed.

      Refund requests may only be considered where the applicable supplier permits cancellation and refund, the booking is not a no-show, and the supplier authorizes a refund or waiver. Acknowledgment of a cancellation request does not guarantee a refund.

      Refunds, if approved by the supplier, may take several weeks or longer to process depending on supplier timelines, banking systems, card networks, and third-party processors. Tiipsy Travels is not responsible for supplier delays or denials.

      Changes after purchase are subject to supplier rules, availability, change fees, fare differences, administrative fees, and any applicable Tiipsy Travels professional service fees. Any unused portion of a journey, missed service, interrupted stay, shortened stay, or no-show is not refundable unless the supplier expressly authorizes a refund.

      Traveler accepts sole responsibility for accepting any voucher, credit, or future travel certificate issued by a supplier. Tiipsy Travels is not responsible if a supplier fails to honor, extend, redeem, or fulfill a voucher or credit.

      California and Illinois Residents: Where applicable law requires additional refund rights or seller of travel disclosures, those rights will apply only to the extent required by law.

      7. Travel Documents

      Travel documents may be issued electronically whenever possible. Traveler is responsible for reviewing all names, dates, flights, hotels, room types, destinations, passport information, and itinerary details immediately upon receipt.

      If Traveler provides incorrect information, Tiipsy Travels is not liable for errors, denied boarding, ticketing issues, penalties, or failed travel resulting from the incorrect information. Hard-copy document requests may incur administrative fees.

      8. Travel Protection

      Tiipsy Travels strongly recommends that all Travelers purchase comprehensive travel protection, including trip cancellation, trip interruption, medical, evacuation, baggage, delay, and supplier default coverage where available.

      Tiipsy Travels and its advisors are not licensed insurance agents unless expressly stated. Any insurance questions regarding policy benefits, exclusions, claims, limitations, or adequacy of coverage should be directed to the insurance provider. If Traveler declines protection, Traveler assumes full responsibility for uninsured losses.

      9. Passports, Visas, Health Requirements, and Travel Risks

      Traveler is solely responsible for obtaining and carrying valid passports, visas, permits, vaccination records, health documents, insurance documents, transit authorizations, entry forms, and other documentation required for the entire journey.

      Many international destinations require a passport valid for at least six months beyond the scheduled return date. Some destinations require return or onward tickets, proof of funds, proof of insurance, or specific health documents. Requirements may vary based on nationality, residency, routing, layovers, and supplier rules.

      Traveler must ensure that names on all reservations match the names on passports or government-issued identification exactly. Tiipsy Travels is not responsible for denied boarding, denied entry, fines, penalties, claims, costs, or losses arising from incorrect or insufficient documentation.

      Traveler assumes sole responsibility for safety at all destinations. By offering or facilitating travel to any destination, Tiipsy Travels does not represent that such destination is advisable or without risk.

      10. Accommodations

      Accommodations include hotels, resorts, villas, cruise cabins, lodges, camps, rentals, or other lodging secured through third-party suppliers. Tiipsy Travels does not own, manage, or control accommodations and does not guarantee amenities, views, room assignments, locations, service levels, or supplier performance unless expressly confirmed in writing by the supplier.

      Prices are generally based on double occupancy unless otherwise stated. Single accommodations, upgrades, rollaway beds, connecting rooms, bedding types, views, and special requests may be subject to availability and additional cost.

      11. Notices

      All legal notices, disputes, or formal communications to Tiipsy Travels must be submitted in writing to legal@tiipsytravels.com.

      12. Seller of Travel Disclosures

      Tiipsy Travels will comply with seller of travel registration and disclosure requirements where applicable. Certain states may require trust accounts, bonds, consumer restitution disclosures, or registration numbers. Where such disclosures apply to a Traveler’s purchase, they will be provided as required by law.

      Traveler understands that seller of travel protections vary by state and may not apply to all transactions, all Travelers, or all services.

      13. Local Customs and Laws

      Traveler may travel to destinations with different customs, standards, laws, risks, accessibility norms, medical standards, safety practices, and cultural expectations. Traveler acknowledges and accepts these risks and agrees to comply with all local, provincial, national, and international laws.

      Tiipsy Travels is not responsible for damages, costs, detention, arrest, fines, denied entry, or additional expenses resulting from Traveler’s failure to obey applicable laws or customs.

      14. Legal Compliance and Proper Conduct

      Traveler agrees to conduct themselves responsibly and respectfully. Tiipsy Travels or a supplier may terminate Traveler’s participation in a journey due to illegal conduct, unsafe behavior, harassment, abusive behavior, intoxication, non-payment, supplier violations, or conduct that negatively affects others.

      In such cases, Traveler is responsible for arranging and paying for substitute travel, accommodations, meals, transportation, and any related expenses.

      15. Marketing Materials

      Photos, videos, descriptions, illustrations, sample itineraries, brochures, proposals, website content, and social media content are provided for inspiration and general representation only. They are not guarantees of exact conditions, views, amenities, weather, decor, availability, or service levels.

      Tiipsy Travels may use Traveler testimonials, feedback, photographs, images, videos, or likenesses for marketing or promotional purposes only with appropriate consent where required by law or where the Traveler has voluntarily provided such materials for that purpose.

      16. Limitation of Liability

      To the fullest extent permitted by law, Tiipsy Travels shall not be liable for consequential, indirect, exemplary, special, incidental, punitive, emotional distress, lost opportunity, or other damages, even if advised of the possibility of such damages.

      Tiipsy Travels’ total aggregate liability for claims arising under this Agreement shall not exceed the amount paid directly to Tiipsy Travels for its professional services, excluding supplier payments transmitted to third parties.

      Tiipsy Travels does not assume liability for injury, damage, death, loss, accident, delay, inconvenience, or expense caused by third-party suppliers, governmental authorities, force majeure events, Traveler conduct, or circumstances beyond Tiipsy Travels’ control.

      17. Disclaimer of Warranties

      Unless otherwise stated in writing, all goods and services offered, recommended, or arranged by Tiipsy Travels are provided on an “as is” and “as available” basis through third-party suppliers.

      To the fullest extent permitted by law, Tiipsy Travels disclaims all warranties, express or implied, including warranties of merchantability, suitability, fitness for a particular purpose, title, uninterrupted service, and warranties arising from course of performance, dealing, or trade usage.

      18. Indemnification and Release

      Traveler releases Tiipsy Travels from any liability, loss, expense, damage, or claim arising from Traveler’s participation in a journey, including claims caused by Traveler, suppliers, accommodations, service providers, other travelers, or third parties.

      Traveler agrees to indemnify, defend, and hold harmless Tiipsy Travels and its owners, officers, advisors, employees, contractors, affiliates, and representatives from any claims, losses, liabilities, costs, fees, damages, or expenses arising from Traveler’s conduct, participation, breach of this Agreement, inaccurate information, or failure to comply with applicable laws or supplier terms.

      19. Force Majeure

      Tiipsy Travels shall not be responsible for failure to perform or for changes, cancellations, delays, interruptions, or losses due to force majeure events beyond its reasonable control. These events include but are not limited to severe weather, fire, flood, earthquake, mudslide, war, terrorism, strikes, labor disputes, epidemics, pandemics, disease, government orders, border closures, advisories, supplier defaults, power interruptions, transportation failures, or other causes beyond Tiipsy Travels’ control.

      If force majeure requires a change or termination of travel arrangements, Tiipsy Travels will not be responsible for refunds, compensation, or additional expenses unless funds are returned by the applicable supplier.

      20. Air Transport

      Tiipsy Travels’ responsibilities regarding air travel are limited by the airline’s conditions of carriage and supplier rules. Airlines may change aircraft, schedules, seats, routes, flight numbers, departure times, arrival times, baggage rules, or operating carriers at any time.

      Tiipsy Travels is not responsible for losses due to cancelled flights, changed seats, changed itineraries, missed connections, delayed flights, denied boarding, baggage issues, schedule changes, or airline irregularities.

      Traveler is responsible for checking in on time, reconfirming flights where required, reviewing airline baggage rules, complying with airline documentation requirements, and allowing sufficient connection time. Failure to check in, board, or comply with airline rules may result in cancellation of onward or return flights without refund.

      Traveler is responsible for all baggage fees, oversized baggage fees, excess baggage charges, special equipment fees, and airline-imposed costs. Claims for lost, damaged, or delayed baggage must be made directly with the airline or carrier.

      Pregnant Travelers, infants, minors, and Travelers with medical or accessibility needs must verify all airline restrictions and requirements before travel. Tiipsy Travels is not responsible for denied boarding or supplier penalties resulting from failure to meet airline requirements.

      21. Representations and Warranties

      Traveler represents and warrants that all information provided to Tiipsy Travels is true, complete, and accurate; Traveler has authority to enter into this Agreement; Traveler will comply with all laws and supplier rules; and Traveler is physically and legally able to participate in the selected travel arrangements.

      22. Medical and Physical Conditions; Medical Emergencies

      Certain journeys and activities may involve physical exertion, water activities, adventure activities, remote areas, unfamiliar terrain, altitude, heat, nightlife, alcohol, transportation risks, or limited medical access. Traveler is responsible for determining whether they are medically and physically fit to participate.

      Traveler is responsible for managing medications, allergies, dietary needs, medical conditions, mobility needs, and emergency medical planning. Tiipsy Travels is not responsible for medical treatment, evacuation, hospital quality, availability of care, or medical expenses incurred before, during, or after travel.

      Traveler releases Tiipsy Travels from liability related to medical care, lack of medical care, emergency response, medical evacuation, or expenses associated with illness, injury, disability, allergic reaction, or medical condition.

      23. Disputes; Governing Law; Jurisdiction

      These Terms & Conditions and the relationship between Traveler and Tiipsy Travels shall be governed by the laws of the State of Kentucky, without regard to conflict-of-law principles.

      Traveler and Tiipsy Travels agree to submit to the personal jurisdiction of state and federal courts located in Fayette County, Kentucky for legal proceedings arising from or relating to this Agreement, Tiipsy Travels’ services, the website, proposals, itineraries, travel documents, or related materials.

      24. Confidential and Personal Information

      Traveler acknowledges that Tiipsy Travels may disclose necessary personal, confidential, or payment-related information to third-party suppliers, contractors, advisors, payment processors, insurance providers, and service providers as required to perform travel services.

      Confidential and personal information may include passport details, birth dates, travel preferences, health-related travel information, dietary needs, payment details, loyalty numbers, emergency contacts, supplier information, customer information, and other information necessary to secure or support travel arrangements.

      Tiipsy Travels will take reasonable precautions to protect personal information but is not responsible for the use, handling, storage, disclosure, or security practices of independent third-party suppliers or foreign vendors beyond Tiipsy Travels’ control.

      Unauthorized disclosure or misuse of Tiipsy Travels’ confidential business information, including supplier contacts, pricing structures, proprietary proposals, itineraries, IATA, ARC, CLIA, host credentials, supplier logins, marketing strategies, or trade secrets, may cause irreparable harm. Tiipsy Travels reserves the right to pursue equitable relief, injunctive relief, damages, and all other remedies available by law.

      25. Attorneys’ Fees, Costs, and Expenses

      If legal action, arbitration, mediation, collection activity, or other proceeding is brought to enforce, interpret, or construe these Terms & Conditions, a journey, proposal, payment obligation, Privacy Policy, website content, or related materials, the prevailing party shall be entitled to recover reasonable attorneys’ fees, costs, and expenses to the extent permitted by law.

      26. Assignment

      Traveler may not assign rights or obligations under this Agreement without prior written consent from Tiipsy Travels.

      27. Severability and Survivability

      If any provision of these Terms & Conditions is found unlawful, void, or unenforceable, that provision shall be limited or severed to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

      Any provision that contemplates continuing obligations shall survive expiration, completion, cancellation, or termination of travel arrangements.

      28. Entire Agreement and Waiver

      These Terms & Conditions, together with applicable proposals, invoices, payment authorizations, supplier terms, itineraries, privacy notices, and trip-specific documents, constitute the entire agreement between Traveler and Tiipsy Travels regarding the subject matter herein.

      No delay or failure by Tiipsy Travels to enforce any provision shall constitute a waiver. No waiver, modification, or amendment shall be effective unless in writing and signed or expressly approved by Tiipsy Travels.

      29. Registrations

      Tiipsy Travels LLC is based in Kentucky and operates as a global luxury travel design and concierge firm. Seller of Travel registration disclosures, if applicable to a particular transaction, destination, or Traveler location, will be provided as required by law.

      30. Acceptance and Signature

      By signing below, clicking “I Agree,” submitting payment, approving an itinerary, authorizing a charge, or proceeding with Tiipsy Travels services, Traveler confirms that they have read, understood, and agreed to these Terms & Conditions.

      If any portion of this Agreement is found void or unenforceable, the remaining portions shall remain in full force and effect.
